Job PurposeThe Company Secretary and Head of Legal is responsible for providing Board Secretarial and related services to the Board of Directors and ensure effective and efficient management of contract administration, company insurance, legislative drafting, and compliance with legal and regulatory legislation including provision of legal advice to members of management.Key Duties and ResponsibilitiesManage relationships and all issues relating to the Board of Directors and shareholders, including convening Board, Committee, and General MeetingsEnsure compliance by the Bank with best corporate governance practices including risk identification and mitigationFiling statutory returns (secretariat related)Provide efficient, effective legal support services and ensure compliance by the Bank with laws governing its operationsProviding legal support and clear and concise solutions to businessManaging litigation and dispute resolution claimsManaging security perfection and documentationFacilitate recovery of delinquent accountsEnsure the Bank is legally protected in all its transactions, with customers and other third partiesAdvise the Board, management, and business teams on statutory developments affecting the business and corporate governance mattersOrganizing both board and management committee meetingsTake minutes for both board and management meetings and ensure proper resolutions are prepared and filedFacilitate drafting and reviewing of bank policies in different units to ensure they are in line with the lawUpdating board charters, inductions, and training of board members.Any other duties that may be assigned from time to time.Job Requirements and ExperienceFor appointment to this grade, a candidate must have:A minimum of twelve (12) years of relevant work experience and at least eight (8) years in management in the Public or Private Sector;Bachelor of Laws degree or equivalent qualifications from a recognized institution;Master's Degree in any of the following disciplines; Law, or equivalent qualifications from a recognized institution will be an added advantage.Postgraduate Diploma in Law from the Kenya School of Law;Admitted as an Advocate of the High Court of Kenya;Hold a valid practicing certificate;Member of the Law Society of Kenya;Strong knowledge of legal services and risk managementPolicy development, regulatory compliance and contract negotiation skillsProficiency in computer applications;Leadership courses/programs from recognized institutions.Show merit and ability as reflected in work performance and results;Fulfill the requirements of Chapter Six of the Constitution.
