This position reports to the Chief Executive Officer, The Corporation Secretary /Manager, Legal Services shall be responsible for the Corporate Secretary /Legal Services department.

Reporting Relationships Reports to Chief Executive Officer Direct Reports Principal Legal and Regulatory Affairs Officer Indirect Reports Senior Legal Officer Job Purpose The purpose of this job is to advice the Board and CEO on Corporate Governance and legal matters including overall responsibility for the formulation of legal policies, advice on the legal effects of policy proposals, interpretation of legislative provisions affecting the operations and mandate of the fund. Negotiating, writing and executing contracts agreements and contracts to protect the fund’s assets and personnel from legal liability in the course of duty. Taking minutes of Board meetings, design and carry out regular Legal audits to ensure compliance with the law
Key Responsibilities/ Duties / Tasks Managerial / Supervisory Responsibilities

1. Advice the Board on Corporate Governance including conduct of meetings, declarations of conflict of interest, Board evaluations and reporting as well as Board appointments by providing legal guidance to ensure compliance and avoid violations of the law

2. Advice the CEO on implementation of Board decisions and statutory reporting by providing timely legal guidance to ensure compliance and avoid adverse evaluations and penalties for underperformance as well as guarding against legal penalties for noncompliance

3. Oversee monitoring of corporate governance reporting schedules and provide a systematic updating mechanism
4. Steer development of work plans for the department by scheduling operations and allocating work to legal officers for proper functioning of the department to safeguard the assets, personnel and processes of the Fund from legal liability and regulatory penalties

5. Lead in preparation of budgets for legal services by submitting budget estimates and plans to ensure allocation of adequate resources to facilitate the operations of the department

6. Design and carry out regular Legal Audits to ensure compliance with the law by designing the appropriate tool and verifying compliance standards with all departments

7. Manage legal officers by monitoring the execution of their duties as well as identifying professional training and exposure to ensure the personnel are well equipped to handle legal matters affecting in the Fund
8. Spearhead the Implementation of the constitution and the TF Act and other relevant laws

9. Spearhead development and negotiations of partnership instruments between TF and other partners e.g. the county Governments;

10. Oversee the implementation of the Code of Ethics for the Board;

11. Oversee the implementation of Governance structures in the organization;
12. Liaison with other Government Agencies on litigation.

13. Custodian of Company documents, the Company seal and register;

14. Guide development and implementation of the Board manual, Terms of Reference and the Code of Ethics for both the Board of Directors and Board Committees;

15. Formulate and develop legal strategy for the legal department to ensure legal policy guidelines are implemented and adhered to.
II. Operational Responsibilities / Tasks 1) Undertake Secretarial services to the Board of Directors and Board Committees.

2) Maintain a record of pending legal issues and make periodic progress reports to the management.

3) Liaise with the Directorate of Corporate Services to develop induction and subsequent training programs on corporate governance for the Board of Trustees

4) Provide Legal counsel to the management of the Fund.
5) Vet contracts, leases, loan agreements and other legal documents.

IV. Working Conditions Works predominantly within the office & occasionally Field visits Job Competencies (Knowledge, Experience and Attributes / Skills). Academic qualifications

(i) Master’s Degree in Law from a recognized university;

(ii) Bachelor’s Degree in Law from a recognized university;

(x) Post Graduate Diploma in Law from the Council of Legal Education
Professional Qualifications / Membership to professional bodies

(i) Advocate of the High Court of Kenya;

(ii) Member, Law Society of Kenya;

(iii) Hold current practicing certificate;
(iv) Member, Institute of Certified Public Secretary of Kenya (ICPSK) in good standing;

(v). Course in senior management lasting not less than four (4) weeks;

Previous relevant work experience required.

Ten (10) years’ work experience out of which five (5) must in Senior Managerial level.

*This appointment is on contractual terms for an initial period of three (5) years and is renewable based on satisfactory performance and business requirements.*
